What is a prompt payment discount

• Prompt Payment means a Payment within the time periods applicable pursuant to Sections 504.3 through 504.5 of this Exhibit in order for NYSERDA not to be liable for interest pursuant to Section 504.6.

• S&P Discount Factor means for purposes of determining the Discounted Value of any S&P Eligible Asset, the percentage determined by reference to the rating on such asset and the shortest Exposure Period set forth opposite such rating that is the same length as or is longer than the S&P Exposure Period, in accordance with the table set forth below:

• Proposed Discounted Prepayment Amount has the meaning specified in Section 2.05(d)(ii).

• Solicited Discounted Prepayment Amount has the meaning assigned to such term in Section 2.11(a)(ii)(D).

• Moody’s Discount Factor means, for purposes of determining the Discounted Value of any Moody's Eligible Asset, the percentage determined as follows. The Moody's Discount Factor for any Moody's Eligible Asset other than the securities set forth below will be the percentage provided in writing by Moody's.

• Discount Range Prepayment Amount has the meaning assigned to such term in Section 2.11(a)(ii)(C).

• Discount Amount means initially $3,341,957; provided that following any issuance of additional Class B(2020-4) Notes in accordance with Section 2.09, the Discount Amount shall mean the amount specified in the Notice of Additional Issuance.

• Specified Discount Proration has the meaning assigned to such term in Section 2.11(a)(ii)(B).

• Specified Discount Prepayment Amount has the meaning assigned to such term in Section 2.11(a)(ii)(B).

• Maturity Payment Amount shall have the meaning set forth in Section 2 of this Annex A.

• Solicited Discounted Prepayment Response Date has the meaning assigned to such term in Section 2.11(a)(ii)(D).

• Specified Discount has the meaning assigned to such term in Section 2.11(a)(ii)(B).

• Fitch Discount Factor means the discount factors set forth in the Fitch Guidelines for use in calculating the Agency Discounted Value of the Company’s assets in connection with Fitch’s ratings then assigned on the Preferred Shares.

• Solicited Discounted Prepayment Notice means a written notice of the Borrower of Solicited Discounted Prepayment Offers made pursuant to Section 2.05(a)(v)(D) substantially in the form of Exhibit M-6.

• Submitted Discount has the meaning assigned to such term in Section 2.11(a)(ii)(C).

• Closing Payment Amount has the meaning set forth in Section 2.5(a).

• Merchant discount means the fee or negotiated discount charged to a merchant by the financial institution for the privilege of participating in a program whereby a credit card is accepted in payment for merchandise or services sold to the credit card holder.

• Solicited Discounted Prepayment Offer means the irrevocable written offer by each Lender, substantially in the form of Exhibit N, submitted following the Administrative Agent’s receipt of a Solicited Discounted Prepayment Notice.

• Discounted Prepayment Determination Date has the meaning assigned to such term in Section 2.11(a)(ii)(D).

• Solicited Discount Proration has the meaning assigned to such term in Section 2.11(a)(ii)(D).

• Specified Discount Prepayment Response Date has the meaning assigned to such term in Section 2.11(a)(ii)(B).

• Adjustment Payment shall have the meaning specified in Section 3.09(a).

• Discount Range Prepayment Response Date has the meaning assigned to such term in Section 2.11(a)(ii)(C).

• Discount Factor means a percentage calculated to provide Buyer with a reasonable return on its investment in the Receivables after taking account of (i) the time value of money based upon the anticipated dates of collection of the Receivables and the cost to Buyer of financing its investment in the Receivables during such period and (ii) the risk of nonpayment by the Obligors. Originator and Buyer may agree from time to time to change the Discount Factor based on changes in one or more of the items affecting the calculation thereof, provided that any change to the Discount Factor shall take effect as of the commencement of a Calculation Period, shall apply only prospectively and shall not affect the Purchase Price payment made prior to the Calculation Period during which Originator and Buyer agree to make such change.

• Repayment Amount means the amount to be paid by the Recipient to the OPWC on each payment date of each year during the Term pursuant to the terms and conditions of the Note.

• Offered Discount has the meaning assigned to such term in Section 2.11(a)(ii)(D).
